1. Agreement to these terms

These Terms of Use govern your use of empirebuildercapital.com (the "Site"), operated by Empire Builder Capital, LLC ("Empire Builder Capital", "we", "us" or "our"). By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

2. No offer or solicitation

The Site is for general informational purposes only. Nothing on the Site is an offer to sell, or a solicitation of an offer to buy, any security or interest in any fund, company or property. Any offer will be made only through the confidential offering documents for a specific offering, including a private placement memorandum, operating agreement and subscription agreement, and only in jurisdictions where permitted. If anything on the Site conflicts with an offering’s documents, the offering documents control.

3. Accredited investors only

Empire Builder Capital offers its investments under Regulation D Rule 506(c) of the Securities Act of 1933. Participation is limited to accredited investors, as defined in Rule 501(a) of Regulation D. Before any investment is accepted, we take reasonable steps to verify each investor’s accredited status, for example through a third-party verification letter or a review of supporting documentation. Viewing the Site or submitting an inquiry does not mean you are eligible to invest.

4. No investment, legal or tax advice

Empire Builder Capital and its team are not attorneys, accountants or tax advisors. Nothing on the Site is legal, tax, accounting or investment advice, or a recommendation that any investment is suitable for you. You should consult your own attorney, accountant, tax advisor and financial advisor before making any investment decision.

5. Important disclaimer

Risk. Investments in private real estate are speculative, involve a high degree of risk and are illiquid. You may lose some or all of your investment, including all principal. Interests in our offerings are subject to restrictions on transfer and resale, and you should be prepared to hold an investment for an extended period.

Past performance. Past performance, including prior results of Empire Builder Capital, its principals, or affiliated deals, inside or outside Empire Builder Capital, is not indicative of future results. No return is guaranteed or projected on this Site.

Forward-looking statements. The Site may contain forward-looking statements, including statements about strategy, plans, markets and expectations, identified by words such as "may," "will," "expect," "intend," "plan," "believe" and similar terms. These statements are based on current assumptions, are subject to risks and uncertainties, and actual results may differ materially. We undertake no obligation to update them.

No regulatory review. Our offerings are made under an exemption from registration and have not been registered with, reviewed or approved by the U.S. Securities and Exchange Commission or any state securities regulator. No regulator has passed on the merits of any offering or the accuracy or adequacy of the Site.

Technology. Our team uses a custom-built tech stack, including proprietary software, to support its work. Technology does not replace human judgment and does not reduce investment risk.

Registration status. Empire Builder Capital is not a registered broker-dealer or investment adviser.

We try to keep the Site accurate and current, but information may be incomplete, out of date or contain errors, and we may change it at any time without notice. Illustrations, sample deals and mock-ups are for illustration only and are not real offerings. You should not rely on the Site in making any investment decision.

7. Acceptable use

You agree not to misuse the Site, including by attempting to gain unauthorized access, interfering with its operation, introducing malicious code, scraping it by automated means without permission, or using it for any unlawful purpose.

8. Intellectual property

The Site and its content, including text, graphics, logos, the Empire Builder Capital name and marks, images and software, are owned by or licensed to Empire Builder Capital and are protected by intellectual property laws. You may view and print pages for your personal, non-commercial use. Any other use requires our prior written permission.

9. Third-party links

The Site may link to third-party websites or services that we do not control. Links are provided for convenience only and are not an endorsement. We are not responsible for the content, policies or practices of third parties, and your use of them is at your own risk.

10. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, EMPIRE BUILDER CAPITAL, ITS AFFILIATES AND THEIR MEMBERS, MANAGERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE OR ANY CONTENT ON IT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. This section does not limit any rights you may have under an offering’s documents or under applicable securities laws that cannot be waived.

12. Indemnification

You agree to indemnify and hold harmless Empire Builder Capital, its affiliates and their members, managers, officers, employees and agents from any claims, losses, liabilities and expenses, including reasonable attorneys’ fees, arising from your misuse of the Site or your violation of these Terms.

13. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. You agree that any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in that state, and you consent to their jurisdiction.

14. Changes to these terms

We may update these Terms from time to time by posting a revised version on this page and changing the "Last updated" date. Your continued use of the Site after changes are posted means you accept the updated Terms.
